Terms and Conditions

These terms and conditions govern the customer's acquisition and use of Stokoyo services including (1) Free trial of Stokoyo services and (2) Use of the Stokoyo demo application.

You accept these terms and conditions by: (1) Clicking a box indicating acceptance, (2) Filling a registration form which has reference to these terms and conditions, (3) using the demo application. If the individual accepting these terms and conditions is doing so on behalf of a company or other legal entity, such individual represents that they have the authority to bind such an entity and its affiliates to these terms and conditions, in which case the term 'Customer' shall refer to such entity and its affiliates. Otherwise, an individual without authority must not accept these terms and conditions and may not use the services.

The Services may not be accessed for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes.

Stokoyo’s direct competitors are prohibited from accessing the Services, except with Stokoyo’s prior written consent.

These Terms and Conditions were last updated on July 31, 2023. It is effective between Customer and Stokoyo as of the date of Customer’s accepting this Agreement (the “Effective Date”).

• Affiliate: means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity. “Control,” for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.

• Application: means the software used to provide Stokoyo services including the website. "App" is used an abbreviation to mean "Application". This excludes third party services used by Stokoyo to offer its services.

• Content: means information obtained by Stokoyo from publicly available sources or its third-party content providers and made available to Customer through the Services or Demo App.

• Customer: means in the case of an individual accepting this Agreement on his or her own behalf, such individual, or in the case of an individual accepting this Agreement on behalf of a company or other legal entity, the company or other legal entity for which such individual is accepting this Agreement, and Affiliates of that company or entity (for so long as they remain Affiliates) which have entered into Order Forms.

• Customer Data means electronic data and information submitted by or for Customer to the Application.

• Free Services means Services that Stokoyo makes available to the Customer free of charge. Free Services exclude Services offered as a free trial and Purchased Services.

Provision of Paid Services

Stokoyo will (a) make the Services and Content available to the Customer pursuant to these Terms and Conditions, (b) provide applicable standard support for the Paid Service to the Customer and no additional charge, (c) use reasonable efforts to make the Paid Service available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which Stokoyo will give advance electronic notice), and (ii) any availability caused by circumstances beyond Stokoyo's reasonable control, including: an act of God, act of government, act of nature, civil unrest, terror, strike or other labor problem, Internet Service Provider failure or delay, third-party application, or denial of service attack.

Protection of Customer Data

Stokoyo will maintain appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of Customer Data. These safeguards will include, but will not be limited to, measures designed to prevent unauthorized access to or disclosure of Customer Data (other than by Customer or Users themselves).

Free Trial

If Customer registers on Stokoyo’s website for a free trial, Stokoyo will make the applicable Service(s) available to Customer on a trial basis free of charge until the earlier of (a) the end of the free trial period for which Customer registered to use the applicable Service(s), or (b) the start date of any Paid Service subscriptions ordered by Customer for such Service(s), or (c) termination by Stokoyo in its sole discretion. Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding.

Unless otherwise stated, Stokoyo and/or its licensors own the intellectual property rights for all material on Stokoyo. All intellectual property rights are reserved. You may access this from Stokoyo for your own personal use subjected to restrictions set in these terms and conditions.

You must not:

• Republish material from Stokoyo
• Sell, rent or sub-license material from Stokoyo
• Reproduce, duplicate or copy material from Stokoyo
• Redistribute content from Stokoyo

This Agreement shall begin on the date hereof Monday 31st July, 2023

Any entity may link to our Website without prior written approval so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party's site.

Links to our Website shall be as follows:

• By use of our corporate name; or
• By use of the uniform resource locator being linked to; or
• By use of any other description of our Website being linked to that makes sense within the context and format of content on the linking party's site.

No use of Stokoyo's logo or other artwork will be allowed for linking absent a trademark license agreement.

Without prior approval and written permission, you may not create frames around our Webpages that alter in any way the visual presentation or appearance of our Website.

We shall not be held responsible for any content that appears on your Website. You agree to protect and defend us against all claims that is rising on your Website. No link(s) should appear on any Website that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amend these terms and conditions and it's linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to or so or to respond to you directly.

We do not ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the website remains available or that the material on the website is kept up to date.
